Selected aspects of cooperative banking sector restructuring



The Act on Cooperative Bank and BGŻ Restructuring of June 24, 1994 provided the guidelines for the restructuring of the sector and principles for its future operation. Consolidated regional unions were to become the cornerstone of the new cooperative banking model. In the course of work on executory acts for the new law, a model of a regional union was developed, along with a proposed union agreement. However, the consolidation of regional and cooperative banks never came to pass. The main reason why the Act has not been implemented in this respect is the imprecision of particular consolidation regulations. This refers primarily to the proposed union agreement template. Its provisions were largely perceived as unclear. As, additionally, big cooperative banks were none too eager to consolidate, a violent debate of the project followed. The reservations voiced during the debate did not allow for a uniform text to be agreed upon. In consequence, the ratifying procedure stipulated by the Act was never initialized. Against the background of most banks´ intensive dislike of the consolidation idea, the introduction of the so-called capital norms for cooperative banks and finally the resumption of work on cooperative banking legislation, the consolidation talks have been postponed interminably. At the same time, intensive work on new legal solutions for the sector is in progress.
